Terms and Conditions

Acceptance

All sales are subject to and expressly conditioned upon these Terms and Conditions. The Buyer’s acceptance of these terms is required for any purchase to proceed. Any variation to these terms shall only be binding if agreed upon in writing and signed by an authorized representative of the Seller.

 

Changes to Orders

Orders may only be modified or amended through a written agreement signed by both the Buyer and the Seller. Cancellation of orders requires express written consent from the Seller. If cancellation is approved, the Buyer will be responsible for all associated costs, including but not limited to:

Storage and shipment costs; Production costs for non-standard materials; Costs for non-returnable materials; Supplier-imposed cancellation charges; Other costs arising from the cancellation; Certified costs by the Seller’s independent auditors will be conclusive.

 

Delivery, Claims, and Delays

Shipping Terms: All sales are at the Seller’s shipping point unless otherwise stated. Delivery to the carrier constitutes delivery to the Buyer, who assumes all risks of loss or damage during transit.

Shipping Costs: Quoted or invoiced shipping charges may include additional handling fees.

Delivery Schedule: In-stock items may ship on the same day upon request. Delivery times for out-of-stock items vary. The Seller reserves the right to deliver in installments, each invoiced separately.

Claims: The Buyer must inspect goods immediately upon receipt and notify the Seller of any discrepancies within 4 days. Failing such notice, the goods are deemed accepted as-is.

Force Majeure: The Seller is not liable for delays or failure to deliver due to causes beyond reasonable control, such as natural disasters, government actions, labor disruptions, or material shortages.

 

Allocation of Goods

If supply shortages occur, the Seller reserves the right to allocate goods among Buyers in a fair manner, without liability for any resulting performance failures.

 

Payment Terms

International Orders: Prepayment of the full invoice amount is required.

Domestic Orders: For Buyers with approved credit history, payment terms are net 30 days from the invoice date unless otherwise stated.

Payment Security: The Seller may modify payment terms or demand prepayment based on the Buyer’s financial condition.

Late Payments: Overdue payments are subject to a delay fee of 2% per month on the outstanding balance.

Default: In cases of payment default, the Seller may defer deliveries, cancel the order, or sell undelivered products. The Buyer is liable for collection costs, including attorney fees.

 

Taxes and Charges

The Buyer is responsible for all applicable taxes, duties, fees, and charges related to the transaction. If the Seller incurs such costs, the Buyer must reimburse them or provide valid exemption documentation.

 

Pricing and Quotation

Prices are subject to change. Written quotations are valid for 60 days. Bulk orders require a prior quotation.

 

Price Adjustments

Shipments will proceed promptly even if nominal price increases occur.

 

Warranties

The Seller warrants that products will conform to the descriptions provided. However:

No implied warranties (merchantability or fitness for a particular purpose) apply.

The warranty becomes void if the Buyer misuses products or fails to adhere to industry standards or Seller instructions. Remedies are limited to replacement or refund at the Seller’s discretion.

 

Buyer’s Use of Products

Products are intended for laboratory research unless otherwise specified. They are not for use in medical, food, cosmetic, or diagnostic applications without explicit authorization. The Buyer is solely responsible for verifying compliance with applicable laws and regulations for any intended use.

 

Indemnity

The Buyer indemnifies and holds the Seller harmless from any liabilities, damages, or costs arising from the Buyer’s misuse or failure to comply with these terms. Incidents involving Seller products must be reported within 15 days of occurrence.

 

Returns

Returns are only accepted with prior authorization and in compliance with Seller instructions. Certain items, such as custom orders, expired products, or items removed from original packaging, are non-returnable. A processing fee of 20–50% may apply to authorized returns.

 

Technical Assistance

Technical advice provided by the Seller is offered at its discretion and without warranty. Suggestions do not constitute express guarantees unless documented in writing.

 

Miscellaneous

Failure by the Seller to enforce any provision shall not constitute a waiver of rights. If any term is deemed invalid or unenforceable, the remaining provisions remain unaffected. Paragraph headings are for convenience only and do not affect interpretation.

 

Governing Law

The laws of Berlin, Germany govern all disputes regarding this agreement. Any legal proceedings shall be conducted exclusively in its courts.

 

Scope of validity

Verbal declarations made by Germanium employees shall only become binding once they have been confirmed in text form.

 

Exclusion of Liability
